AI Terms of Use

  1. General.
    1. These AI Terms of Use (“AI Terms”) are incorporated by reference to the Terms of Use (“TOU”) and, together with the TOU, set forth the terms and conditions under which You may access and use any artificial intelligence, machine learning, large language model (collectively, “AI”)-powered features made available by or through NPM to You (collectively, the “AI Tools”). For avoidance of doubt, the AI Tools are part of the Platform as described in the TOU. If there is a conflict between these AI Terms and the TOU, these AI Terms control solely to the extent of the specific conflict and solely as applicable to the AI Tools.
    2. By using or otherwise interacting with the AI Tools, You agree to be bound by the TOU and these AI Terms. If You do not agree, do not use or otherwise interact with the AI Tools.
    3. ALL USE OF THE AI TOOLS BY YOU SHALL BE AT YOUR SOLE RISK. By using the AI Tools, You assume any and all risk of any nature. If You are acting on behalf of an organization, then You are agreeing to these AI Terms on that organization’s behalf. You understand and acknowledge that AI (including the AI Tools) is a developing technology and that its risks and limitations may not be fully understood. NPM disclaims all liability resulting from Your use of the AI Tools and makes no representation or warranty, express or implied, regarding the extent to which Your use of the AI Tools or their outputs is appropriate, permissible, lawful, accurate, or otherwise suitable for Your purposes.
    4. The AI Tools available to You may depend on Your user role and subscription tier (e.g., investor, seller, or data subscriber), as described in any applicable documentation made available by NPM from time to time. NPM reserves the right to modify, restrict, or expand AI Tool access by role or tier at any time upon notice as described herein.
  2. Inputs, Outputs, Providers.
    1. Definitions. “Input” means all data, content, information, and other materials submitted by You to or in connection with the AI Tools. “Output” means any response or content generated by the AI Tools in response to Your Input.
    2. Transmission to Providers. Your Inputs may be transmitted to one or more third-party AI model providers engaged by NPM (each, a “Provider”) solely for the purpose of generating Output. NPM may add, remove, or change Providers without notice or consent, and will provide You with a list of current Providers upon Your written request.
    3. Use of Inputs. NPM does not use Your Inputs except as appropriate to provide Your Outputs. NPM may collect usage and performance statistics in connection with the AI Tools, including for purposes of abuse monitoring, security, debugging, legal compliance, but does not use the content of Your Inputs for service improvement purposes. NPM uses commercially reasonable efforts and contractual restrictions to prohibit Providers from using Your Inputs for training, model improvement, or any purpose beyond generating Your Outputs.
    4. Responsibility for Inputs. You are solely responsible for all Inputs you submit. You represent that all Inputs are owned by or validly licensed to You for use in connection with the AI Tools, and that Your submission of Inputs does not infringe, misappropriate, or otherwise violate any third-party intellectual property rights.
    5. No Exclusivity of Outputs. You acknowledge that other users may receive similar or identical Outputs from the AI Tools. No Output is exclusive to You. Subject to these AI Terms and the TOU, You are granted a limited, non-exclusive right to use the Outputs solely for Your internal purposes in connection with the Platform.
  3. Nature of Outputs; Disclaimer.
    1. No Guarantee of Accuracy. The AI Tools may generate incorrect, inaccurate, incomplete, or otherwise inappropriate information. NPM does not test, verify, endorse, or guarantee any Output, including as to accuracy, completeness, or currency. You are solely responsible for evaluating whether any Output is true, correct, current, or appropriate for Your purposes.
    2. Not Professional Advice. Nothing produced by the AI Tools constitutes legal, financial, investment, or other professional advice. You must not rely on Outputs as a basis for pricing, valuation, transaction, or any other important decisions without independent verification. Always consult a qualified professional before acting on AI-generated information.
    3. Legal and Regulatory Risks. Applicable regulators, law enforcement, or other governmental authorities (collectively, “Authorities”) may determine that the technology underlying the AI Tools or their implementation requires review, modification, or removal, which could result in NPM’s suspension or discontinuation of the AI Tools in NPM’s sole discretion. Authorities may also determine that Your specific use of the AI Tools is unlawful or violates third-party rights, which could result in civil or criminal liability against You.
    4. General Disclaimer. THE AI TOOLS ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS. NPM AND ITS AFFILIATES AND PROVIDERS (a) MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE AI TOOLS OR ANY OUTPUT, INCLUDING AS TO PERFORMANCE, SECURITY, ACCURACY, OR NON-INFRINGEMENT, AND (b) EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. The warranty disclaimers and limitations of liability set forth in the TOU apply to and supplement these AI Terms.
  4. Acceptable Use.
    1. Consent. Before using the AI Tools, You may be required to affirmatively consent to these AI Terms. You are responsible for ensuring that any individuals accessing the AI Tools through Your account are informed that their use is subject to these AI Terms.
    2. Limited Purpose. The AI Tools are designed and intended solely for use in connection with private company trading and related activities on the Platform. NPM implements technical measures on a best-efforts basis to restrict use to these purposes, but does not guarantee the effectiveness of such measures. You agree to use the AI Tools only for their intended purpose and not to attempt to circumvent any such technical restrictions.
    3. Personal Data Prohibited. You should not submit to the AI Tools any information that identifies, relates to, or could reasonably be linked to a specific individual or household, or any information that constitutes “personal data”, “personal information”, or “personally identifiable information” under applicable law. The AI Tools are not designed or intended to process personal data. You are solely responsible, and NPM will have no liability or responsibility, for any personal data You include in Your Inputs or otherwise in violation of this restriction.
    4. Compliance with Laws; Sanctions. You are responsible for ensuring that Your use of the AI Tools complies with all applicable laws and regulations. You may not access or use the AI Tools from any jurisdiction subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC) or any other applicable sanctions authority. Violation of this section may result in immediate suspension of Your access.
    5. High-Risk and Abusive Uses Prohibited. The AI Tools are not designed or intended for use in high-risk scenarios, including as the basis for or a meaningful factor in any consequential decision-making. You may not use the AI Tools to create, publish, or disseminate content that is abusive, discriminatory, or otherwise harmful.
    6. Platform Conduct; AI-Assisted Negotiations. You agree not to use the AI Tools to generate misleading, manipulative, or deceptive communications in connection with any bid, offer, or negotiation on the Platform. You are solely responsible for the accuracy and legality of any content You submit or transmit through AI Tool-assisted workflows, and for independently evaluating all terms before executing any agreement. Agreements executed through the Platform, including those arising from workflows in which AI Tools were used, are binding on the parties in accordance with the Platform’s agreement execution terms. NPM’s role is limited to facilitating execution and NPM is not a party to any such agreement. NPM shall not be liable for any losses arising from reliance on AI-generated content in connection with any transaction.
  5. Miscellaneous.
    1. Governing Law. These AI Terms are governed by the same governing law provisions set forth in the TOU.
    2. Severability. If any provision of these AI Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  6. Updates. NPM may update or discontinue the AI Tools with immediate effect at any time, or update these AI Terms upon notice as described in the TOU. Your continued use of the AI Tools following any such update constitutes Your acceptance of the revised terms.
