Recurring Liquidity Events
Regular liquidity events across one or more funds, with the GP maintaining control.
A GP offers regular (e.g. quarterly) liquidity events across one or more funds. GPs can accept or reject offers for LP interests from secondary buyers- allowing GPs to provide structured liquidity opportunities for LPs while maintaining control.
By using NFS’s QMS, eligible GPs can increase liquidity thresholds from 2% to 10% of a fund’s total value annually, allowing GP’s to faster clear PTP queues.

Embedded Liquidity™ is a provision written into a fund’s offering documents designating NFS as the GP’s liquidity partner- with liquidity events typically starting around year 5- signaling to investors that a liquidity strategy is in place, should it become necessary.

Qualified Matching Service (QMS)
IRS-Interpreted PTP Safe Harbor
Operate within IRS rules for publicly traded partnerships and raise annual liquidity thresholds from 2% to 10%.
The Fund Secondaries technology platform can operate as a qualified matching service (QMS), as interpreted in a private letter ruling by the IRS which sets forth the platform’s methodology to be within the IRS rules relating to publicly traded partnerships (PTPs). By using NFS’s QMS, eligible GPs can increase liquidity thresholds from 2% to 10% of a fund’s total value annually, allowing GPs to more quickly clear PTP queues.

Fund Secondaries may work directly with a GP during a sale spearheading the effort to receive GP approval, or may work indirectly if our client prefers to maintain contact with the GP.
Depending on your institution, there are a variety of ways to partner with us whether using Fund Secondaries as a solutions provider, or as an execution service for transactions. The service offering provides asset managers with multiple ways to leverage the technology and service. At the time of fund creation, you may partner with us using our embedded liquidity feature or partner later in a fund’s life to offer liquidity to your clients.
