This electronic communications consent (this “Consent Form”) explains the terms by which Nasdaq Private Market, LLC and its affiliates, including NPM Securities, LLC, a registered broker dealer and alternative trading system (collectively, “NPM”) may communicate with you. By agreeing to electronic delivery, you, as the undersigned (“You”) are giving Your informed consent to electronic delivery of all Communications (defined below).
“Communication(s)” means all applicable current and future account statements, trade confirmations, offering documents, notices, disclosures, regulatory communications, and other information, documents, data, and records regarding or relating to Your use of, investment through, or services received from NPM, or communications provided by NPM on behalf of other parties including the issuers of securities and/or other property in which You may invest.
Revocation of Consent. You may revoke consent to electronic delivery of Communications anytime, subject to the terms of this Consent Form, by notifying NPM in writing (which may be via email to legal@npm.com) of Your intention to do so. Note that You may lose access to some online-only NPM services and/or websites if Your consent is withdrawn. You have the right to request paper delivery of any Communication that applicable law requires NPM to provide in paper form upon request. If You revoke or restrict consent to electronic delivery of Communications or request paper delivery, NPM, at its discretion, may charge a reasonable service fee for the delivery of Communications that would otherwise be delivered electronically. Neither the revocation or restriction of consent, or the request for paper delivery, nor NPM’s delivery of paper copies of Communications will affect the legal effectiveness or validity of any electronic communication provided while the consent was in effect.
Electronic Delivery System. You agree that the primary method of NPM’s communication will be by posting information on web pages accessible through a unique hyperlink provided to You (the “Website”). You agree to check the Website regularly for up-to-date information to avoid missing time-sensitive information and to notify NPM immediately if You are unable to access the Website. You consent to being considered informed and up-to-date concerning all postings on the Website.
You can download and save or print the Communications received via electronic delivery for internal recordkeeping.
You acknowledge that the Internet is not a secure network and that communications transmitted over the Internet may be accessed by unauthorized or unintended third parties. E-mail notifications sent by NPM will not contain sensitive or confidential customer information. Due to security risks, You agree not to send any sensitive information in an unencrypted e-mail.
You agree to promptly and carefully review all Communications as and when delivered and to notify NPM within two (2) business days if You object, question, or dispute the accuracy of any Communication(s). NPM is entitled to treat all postings as accurate, complete, and conclusive unless You object within the above specified time period.
Duration of Consent. This consent will be effective immediately and will remain in effect unless and until either You or NPM revokes it. You understand any revocation will only be effective after NPM has had reasonable time to process it, and You may receive electronic notifications in the interim.
Consent and Representations. You hereby agree that You have carefully read the above information regarding informed consent and fully understand the implications hereof. You hereby agree to the conditions outlined above concerning electronic delivery of Communications. You also agree to maintain a valid e-mail address and to continue to have access to the Internet. If Your e-mail address changes, You will immediately notify NPM of the new e-mail address.Updated June 2024
